Renatus Tactical Acquisition Corp I (RTACU), a special purpose acquisition company (SPAC), is scheduled to ring the Nasdaq opening bell today, 23 May 2025, marking its recent listing on the Nasdaq Global Market. The ceremony will be led by Chief Executive Officer Eric Swider at the Nasdaq MarketSite in New York City.
The company successfully closed an upsized initial public offering (IPO) on 16 May 2025, raising $241.5 million through the sale of 24,150,000 units at $10.00 per unit. Each unit comprises one Class A ordinary share and one-half of a redeemable warrant, with each whole warrant exercisable at $11.50 per share. The offering included the full exercise of the underwriters' over-allotment option.
The units commenced trading on the Nasdaq under the ticker symbol "RTACU" on 15 May 2025. Once the securities comprising the units begin separate trading, the Class A ordinary shares and warrants are expected to be listed under the symbols "RTAC" and "RTACW," respectively
RTACU was formed with the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganisation, or similar business combination with one or more businesses. The company intends to focus its search on high-potential businesses based in the United States, particularly in the cryptocurrency and blockchain, data security, and dual-use technologies sectors .
The SPAC is led by a team with experience in the acquisition company space. CEO Eric Swider previously served as CEO of Digital World Acquisition Corp (DWAC), which merged with Trump Media & Technology Group. The company's Chairman is Devin Nunes, the current CEO of Trump Media and a former U.S. Representative from California. COO Alexander Cano and CFO Ian Rhodes also bring experience from prior roles in related ventures .
Proceeds from the IPO, along with a private placement of 3,821,591 warrants at $1.00 each, have been placed into a trust account. These funds will remain in trust until the company completes an initial business combination, redeems public shares in connection with certain amendments to its charter, or liquidates if no business combination is completed within 24 months (extendable up to 30 months).
Legal counsel for the IPO was provided by Paul Hastings LLP, with Clear Street acting as the sole book-running manager for the offering.
